Governance Structure

Board of Directors

Our Board provides strategic oversight and leadership, guiding the overall direction of the company. The Board plays a vital role in ensuring that our business operations reflect our core values and sustainability objectives, with a strong focus on long-term value creation for all stakeholders.

Audit and Risk Committee

This committee is responsible for overseeing the integrity of our financial reporting, internal control systems, and enterprise risk management. By identifying, evaluating, and mitigating potential risks, the Audit and Risk Committee helps safeguard the organisation’s financial health and operational resilience.

Cyber Security & Data Protection

At FBD Hotels & Resorts, the protection of personal data and sensitive business information is a top priority. We are committed to upholding the highest standards of cybersecurity and data privacy across all areas of our operations.

We invest heavily in robust cybersecurity infrastructure, regularly updating and auditing our systems to stay ahead of evolving threats. Our approach combines advanced technology with strong internal controls, ensuring that both guest and corporate data are safeguarded at all times.

As part of our proactive security measures:

  • We conduct regular system audits and penetration testing to identify and address vulnerabilities

  • Our teams are subject to physical and online simulations to assess and strengthen compliance with cybersecurity protocols

  • All staff members complete mandatory, in-depth cybersecurity training, ensuring a company-wide culture of awareness and responsibility

  • Policies and procedures are regularly reviewed and updated to reflect emerging risks and evolving regulations

Reporting

We are committed to transparently tracking, measuring, and reporting our Environmental, Social, and Governance (ESG) performance. To ensure our efforts deliver meaningful impact, we have established performance metrics aligned with global sustainability reporting standards. These will help us monitor progress, set measurable targets, and drive continuous improvement across all areas of ESG.

While we have already implemented a range of initiatives across our operations, formal ESG performance reporting will begin in 2025. From then, we will publish an annual ESG report outlining our progress against clearly defined metrics across three core pillars:

  • Environmental Performance: Carbon emissions, water and waste management

  • Social Performance: Diversity and inclusion, employee satisfaction, team development, and community engagement

  • Governance Performance: Board diversity and governance compliance

This approach will ensure full visibility into how we are advancing our sustainability goals while holding ourselves accountable to all stakeholders. By aligning with international standards and enhancing transparency, we aim to demonstrate our long-term commitment to responsible, future-focused hospitality.

Our resolve to advance sustainability remains strong. We are committed to setting new benchmarks year on year, focusing on 100% renewable energy sourcing, innovative waste management solutions, expanded community-oriented initiatives, and deeper investment in health and well-being, inclusion, and career development opportunities for our teams.
